Terms of Service

1. Service Model

Foundation is an infrastructure service.

You are not purchasing a website. You are paying for continued access to a system that we own, operate, and maintain.

All infrastructure, architecture, systems, and deployment environments remain the exclusive property of FOCUS AI at all times.

Your website operates within this infrastructure and remains active only while your account is in good standing. If service is canceled or terminated, your website is removed and access is revoked.

2. Monthly Service Fee

Foundation operates on a recurring monthly fee of $100, taxes included.

This fee covers all infrastructure required to keep the website live and operational, including hosting, backups, monitoring, security, and SSL. Failure to maintain payment results in service interruption as outlined below.

3. Payment Terms

Payments are due on the assigned billing date each month. Payments not received within 5 days of the due date are considered late.

On day 6:

Service is suspended.
The website will be taken offline.
A $75 reactivation fee is applied.

To restore service, the full outstanding balance plus the $75 reactivation fee must be paid.

We are not responsible for any loss of traffic, leads, revenue, or business performance resulting from service suspension due to non-payment, including but not limited to ranking loss, reduced visibility, or deindexing caused by downtime.

4. Repeated Late Payments

Three late payments resulting in suspension within any 9-month period constitutes a breach of agreement. FOCUS AI reserves the right to terminate service immediately.

Upon termination:

The website is permanently removed from infrastructure.
Access is revoked.
No refunds are issued.

5. Ownership and Intellectual Property

You retain ownership of:

Your business name
Your logo (only if provided by you)
Your trademarks
Any content or materials you provide

FOCUS AI retains full ownership of:

All website code, structure, and architecture
Design systems and layouts
Search frameworks and page structures
All custom systems, automation, and performance infrastructure
Any logos, graphics, or visual assets created by FOCUS AI

You are granted a limited, non-transferable license to use the website and associated materials while your service is active. This license is immediately revoked upon cancellation or termination. No ownership rights to the website, underlying system, or any materials created by FOCUS AI are transferred at any time.

6. Use of Materials After Cancellation

Upon cancellation or termination, you must immediately cease use of any materials created by FOCUS AI, including:

Website designs
Layouts and structure
Graphics and visual elements
Custom-built assets

You may continue to use any content or materials you originally provided. Unauthorized reuse, replication, or adaptation of FOCUS AI materials is not permitted.

7. Acceptable Use

You agree not to use the website or infrastructure for:

Illegal activity
Fraudulent or misleading content
Activities that may harm system performance, stability, or integrity

We reserve the right to suspend or terminate service if misuse is detected.

8. Service Modifications

We may update, modify, or improve infrastructure, systems, or components at any time to maintain performance, security, and reliability. These changes may occur without prior notice.

9. Cancellation

You may cancel at any time. Upon cancellation:

The website is removed from active infrastructure.
Access to the system is revoked.
All licenses to use FOCUS AI systems and materials are terminated.
No refunds are issued.

10. Termination

We reserve the right to terminate service at any time due to:

Non-payment
Repeated late payments
Violation of these terms
Misuse of the system

Termination results in immediate removal of the website and loss of access.

11. Agreement

Continued use of Foundation constitutes acceptance of these terms.
